1. Definitions
In these Terms and Conditions:
• “Company” means Aervault Aircraft Parts & Component Trading FZCO
• “Customer” means any individual or entity requesting quotations, placing orders, or receiving goods or services from the Company.
• “Goods” means aircraft parts, components, materials, or related items supplied or coordinated by the Company.
• “Services” means sourcing, procurement coordination, documentation alignment, and logistics coordination services.
• “Quotation” means any written price offer issued by the Company.
• “Order” means a Customer’s acceptance of a Quotation.

2. Scope of Business
The Company operates as an independent aviation trading and sourcing company.
The Company does not:
• Manufacture aircraft parts
• Perform maintenance or repair
• Issue airworthiness or release certificates
• Hold stock unless expressly agreed in writing
The Company coordinates supply from third-party suppliers and provides commercial and logistical support.

3. Quotations
3.1 All Quotations are:
• Subject to availability
• Subject to prior sale
• Valid only for the period stated in the Quotation
3.2 Prices, lead-times, condition, and documentation are based on information provided by the supplier at the time of quotation.
3.3 Quotations do not constitute a binding contract until accepted by the Customer and confirmed by the Company.

4. Orders
4.1 An Order is deemed accepted only when confirmed in writing by the Company.
4.2 Once confirmed, Orders may not be cancelled without written agreement and may be subject to cancellation charges imposed by the supplier.
4.3 The Customer is responsible for ensuring that all Order details are correct before confirmation.

5. Documentation and Certification
5.1 Documentation (including FAA 8130-3, EASA Form 1, Certificate of Conformance, trace documents, packing lists, and export documents) is provided as supplied by the original source.
5.2 The Company does not manufacture, alter, certify, or validate airworthiness documentation.
5.3 The Company makes reasonable efforts to review documentation for consistency but does not guarantee regulatory acceptance by aviation authorities or operators.

6. Condition of Goods
6.1 Goods are supplied in the condition stated on the Quotation or Order Confirmation.
6.2 Terms such as “NEW”, “SV”, “OH”, “AR”, “FN”, or “AS-IS” are used according to industry convention.
6.3 “AS-IS” items are supplied without warranty unless expressly stated otherwise.

7. Warranty and Returns
7.1 Warranty or return rights apply only if explicitly stated in the Quotation or Order Confirmation.
7.2 Any warranty provided is limited to the supplier’s warranty and subject to supplier terms.
7.3 Claims must be submitted in writing within the timeframe stated in the Quotation.
7.4 No returns are accepted without prior written authorization.

8. Pricing, Taxes, and Duties
8.1 Prices are exclusive of VAT, customs duties, import taxes, and similar charges unless expressly stated otherwise.
8.2 The Customer is responsible for all applicable taxes, duties, and charges in the destination country.
8.3 Where VAT is applicable, it will be charged in accordance with applicable law.

9. Payment Terms
9.1 Payment terms are stated on the Quotation or Invoice.
9.2 The Company reserves the right to require advance payment before Order execution.
9.3 Late payments may result in suspension of Services or cancellation of Orders.

10. Delivery and Incoterms
10.1 Delivery terms are governed by the Incoterm stated in the Quotation or Order Confirmation.
10.2 Risk of loss transfers in accordance with the applicable Incoterm.
10.3 Delivery dates are estimates only and not guaranteed.

11. Compliance and Export Control
11.1 Transactions are subject to applicable export control laws, sanctions, and regulatory requirements.
11.2 The Company reserves the right to refuse or cancel any transaction where compliance requirements cannot be met.

12. Limitation of Liability
12.1 To the maximum extent permitted by law, the Company’s liability is limited to the value of the Goods or Services supplied in the relevant transaction.
12.2 The Company shall not be liable for indirect, consequential, or economic losses, including loss of profit or aircraft downtime.

13. Force Majeure
The Company shall not be liable for failure or delay caused by events beyond its reasonable control, including supplier failure, transport disruption, regulatory action, or force majeure events.

These Terms and Conditions are governed by the laws of England and Wales.

By requesting a Quotation, placing an Order, or receiving Goods or Services, the Customer agrees to these Terms and Conditions.
